1. ACCEPTANCE OF TERMS

Welcome to Tout Technologies LLC ("Tout," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the TOUT mobile application and related websites, products, and services (collectively, the "App").

By downloading, creating an account on, or using the App, you agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you do not agree, you may not use the App.

2. ELIGIBILITY

You must be at least 13 years old to use the App. By using the App, you represent that you are at least 13 and have the legal capacity to enter into this Agreement.

If you are under the age of 18, you must have parental or guardian consent to use the App.

3. OVERVIEW OF THE SERVICE

Tout is an invite-only social recommendation platform where users share and discover trusted recommendations ("Touts") for local services such as wellness, beauty, travel, dining, and more within their circle of friends and followers.

You may post recommendations, view others' posts, and interact with your network in accordance with these Terms.

The App currently does not include paid subscriptions, e-commerce transactions, or in-app purchases.

4. ACCOUNT REGISTRATION AND SECURITY

You must create an account to access most App features. You agree to:

  • Provide accurate and current information;

  • Maintain the confidentiality of your password and account; and

  • Notify us immediately at admin@touttheapp.com of any unauthorized access.

Tout is not responsible for losses resulting from unauthorized use of your account.

5. USER CONTENT AND LICENSE

You retain ownership of all content, reviews, photos, text, or other materials you post ("User Content"). By posting, you grant Tout Technologies LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, and display your User Content solely to operate, improve, and promote the App.

You represent and warrant that:

  • You own or have the right to post the content;

  • The content does not infringe, misappropriate, or violate any third-party rights or laws.

We may remove or restrict access to User Content that violates these Terms or our policies, without prior notice.

6. PROHIBITED CONDUCT

You agree not to use the App to:

  • Post or transmit any false, misleading, defamatory, obscene, or harassing material;

  • Impersonate any person or entity;

  • Post commercial solicitations, spam, or self-promotion;

  • Engage in fraudulent or deceptive practices;

  • Access or attempt to access another user's account;

  • Reverse-engineer, scrape, or data-mine the App; or

  • Interfere with or disrupt App functionality.

Violation of this section may result in immediate suspension or termination of your account.

7. INTELLECTUAL PROPERTY

All intellectual property rights in the App (excluding User Content) are owned by Tout Technologies LLC and its licensors. You may not copy, modify, or distribute the App's software, design, or branding without written consent.

"Touts," the TOUT name, logo, and related marks are trademarks of Tout Technologies LLC.

8. PRIVACY

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

9. TERMINATION

We may suspend or terminate your account at any time for violation of these Terms, unlawful activity, or inactivity.

You may delete your account at any time by contacting admin@touttheapp.com. Upon termination, rights and obligations that by their nature should survive (e.g., ownership, disclaimers, limitation of liability) will remain in effect.

10. DISCLAIMERS

The App is provided "as is" and "as available" without warranties of any kind.

Tout makes no representations or warranties that:

  • The App will be uninterrupted or error-free;

  • Content will be accurate, complete, or reliable;

  • Any defects will be corrected.

Tout disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Tout Technologies LLC and its officers, directors, employees, and affiliates will not be liable for:

  • Any indirect, incidental, special, or consequential damages;

  • Loss of profits, goodwill, or data; or

  • Any damages exceeding $100 USD in aggregate arising out of or related to your use of the App.

Some jurisdictions do not allow such limitations; in those cases, liability is limited to the maximum extent permitted by law.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Tout Technologies LLC, its affiliates, and employees from and against any claims, damages, or expenses arising from your use of the App or violation of these Terms.

13. ARBITRATION AGREEMENT AND CLASS ACTION WAIVER

a. Agreement to Arbitrate:
Any dispute, claim, or controversy arising out of or relating to this Agreement or your use of the App shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

b. Class Action Waiver:
You agree that disputes will be resolved only on an individual basis, and not as a class or collective action.

c. Governing Law and Venue:
This Agreement is governed by the laws of the State of Connecticut, without regard to conflict of law principles. Arbitration shall take place in Hartford County, Connecticut.

14. MODIFICATIONS TO THE TERMS

We may revise these Terms from time to time. The updated version will be effective when posted in the App or on our website. Your continued use of the App after changes constitutes acceptance of the new Terms.
